By accessing or using the Huestock platform, website, mobile application, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Huestock Inc. ("Huestock," "we," "us," or "our"). By creating an account, making an investment, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

To use our Services, you must meet the following eligibility requirements:

• Age: You must be at least 18 years old (or the age of majority in your jurisdiction).
• Legal Capacity: You must have the legal capacity to enter into a binding contract.
• Not Restricted: You must not be subject to sanctions, embargoes, or other restrictions that prohibit use of our Services.
• Jurisdiction: You must not reside in a jurisdiction where our Services are prohibited by law.

We reserve the right to refuse service to anyone for any reason at our sole discretion.

To access certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

We may require identity verification (KYC) before allowing certain transactions or higher investment limits.

Huestock provides a platform for fixed-term investment plans tied to publicly traded stocks. Our Services include:

• Access to real-time and historical stock market data.
• Fixed-return investment plans with predetermined durations and ROI rates.
• Portfolio tracking and performance analytics.
• Deposit and withdrawal processing.
• Customer support services.

Huestock is not a broker-dealer, investment advisor, or exchange. We provide a platform for users to participate in fixed-return investment plans.

By making an investment through Huestock, you acknowledge and agree to the following:

• Fixed Returns: Returns are fixed at the time of investment and are not dependent on actual stock performance.
• Lock-in Period: Investments are locked for the duration specified in your chosen plan.
• Early Withdrawal: Early withdrawals may result in reduced or forfeited returns as specified in your plan terms.
• Maturity: Upon maturity, principal plus earned returns will be credited to your Huestock wallet.
• Reinvestment: You may elect automatic reinvestment, subject to then-current plan terms.

Huestock charges the following fees:

• Management Fee: A small percentage fee is included in the displayed ROI rates. You will never pay more than advertised.
• Deposit Fees: We do not charge fees for deposits. However, your payment provider may charge transaction fees.
• Withdrawal Fees: Standard withdrawals are free. Expedited withdrawals may incur a small processing fee.
• Currency Conversion: International transactions may be subject to currency conversion fees.

All fees are clearly disclosed before you confirm any transaction.

Withdrawal terms:

• Withdrawals are processed within 24-48 hours for verified accounts.
• Minimum withdrawal amount is $50 unless closing your account.
• Large withdrawals (over $50,000) may require additional verification.
• Withdrawals must be made to an account in your name.
• We reserve the right to delay withdrawals if fraud or unauthorized activity is suspected.

You agree not to:

• Use the Services for any illegal purpose or in violation of any applicable laws.
• Provide false, inaccurate, or misleading information.
• Attempt to circumvent security measures or gain unauthorized access.
• Use automated systems (bots, scrapers) without our express permission.
• Engage in money laundering, terrorist financing, or other financial crimes.
• Harass, abuse, or harm other users or our staff.
• Impersonate another person or entity.
• Interfere with or disrupt the integrity or performance of the Services.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our Services, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, software, and the Huestock name and logo, are the exclusive property of Huestock Inc. and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from our Services without our prior written consent.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, HUESTOCK DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUESTOCK AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

Our total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the total amount of fees paid by you to Huestock in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless Huestock and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or relating to:

• Your use of the Services.
• Your violation of these Terms.
• Your violation of any third-party rights.
• Your violation of applicable laws or regulations.

We may terminate or suspend your account and access to the Services at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination, your right to use the Services will immediately cease. Any active investments will be processed according to their terms or returned to you less any applicable fees.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Services. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the federal or state courts located in Delaware.
